Corporate Finance
Value-based management is one of corporate leadership’s main functions. Ernst & Young is proud to present you various
seminars on this topic. Covering all aspects of value-based management, our seminars prepare participants in an optimal
way for M&A transactions and introduce them to tools and analytical methods for day-to-day tasks in finance and corporate
development.
Our workshops provide professional knowledge and best practice approaches with high practical relevance and offer participants
the opportunity for one-to-one discussions with other course members and our speakers.
For more information please see the following pages. Please note that our seminars are held in German and English.
Mergers & Acquisitions
M&A is an integral component of corporate strategy. Virtually all companies face situations, whether occasionally or
repeatedly, where they need to make strategic decisions regarding the acquisition of a company or the disposal of their own
operating units.
In the course of this seminar, we will discuss strategic considerations relating to acquisitions and divestments and
will examine the whole M&A process from initiating to concluding a transaction. Throughout the seminar, case studies
will be used to illustrate the topics covered, with numerous examples drawn from real-life situations. Key components of the
course will include the valuation of targets, financial structuring, due diligence, legal and tax structuring of transactions
and the negotiation process. There will also be enough time for discussions and to share experiences.
After participating in our seminar, you will be able to understand the most important stages in successfully concluding an
M&A transaction. In addition, you will be in a position to make an active contribution to your company’s corporate finance
strategy and to manage the M&A process successfully through all business cycles.

Advanced Valuation
A detailed understanding of how a company’s value is measured and increased is a must for anyone in a management role.
The seminar will focus on advanced valuation topics. The aim is to eliminate uncertainties in valuation and to identify any
potential scope for the interpretation of valuation ranges using concrete practical examples.
Participants of this seminar are required to have some prior knowledge on valuations of companies. This is also necessary

Financial modeling and simulation are increasingly used as an important basis for decision-making in situations involving
uncertainty.

arranged to be less prone to errors and be best used to support the decision-making process in business?
Based on an integrated case study from the field of business valuation, you will learn the basic methodology that will prove
valuable in designing and testing financial models.
